Welcome to AlphaDeep. These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications provided by AlphaDeep Inc., a Delaware C Corporation ("AlphaDeep", "we", "us", or "our"), including our model development workspace hosted at agent.alphadeep.ai.
By creating an account, uploading data, or using our API endpoints, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Account Registration and Security
To use our model builder and TPU inference platform, you must register for an account. You agree to provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and all activities that occur under your workspace.
2. License and Platform Usage
Subject to these Terms, AlphaDeep grants you a limited, non-exclusive, non-transferable, and revocable license to access our platform interfaces, utilize the AI Engineering Agent, and request model training/inference endpoints. You shall not:
- Attempt to reverse-engineer, modify, or decompile the core base models or the JAX-native Blinx Kernel.
- Use the serverless TPU resources for unauthorized operations, including but not limited to crypto-currency mining, password cracking, or distributed denial-of-service (DDoS) simulations.
- Bypass rate limits, API throttling, or shared resource allocation mechanisms.
3. Proprietary Data and Weights
Your Ownership: As between you and AlphaDeep, you retain all ownership, intellectual property rights, and title to the training datasets you upload and the weights of any custom adapters (such as LoRAs) trained inside your workspace. We do not use your proprietary dataset files or trained adapter parameters to train or improve our base models without your explicit consent.
AlphaDeep Ownership: We retain all right, title, and interest in and to the platform code, Blinx routing engine, developer interfaces, base model architectures, documentation, and pre-trained base model weights.
4. Billing, Invoicing, and Stripe
We charge for services on a usage-based billing schedule calculated per request of the trained model, as specified in our pricing documentation. All billing, card processing, and invoice management are conducted automatically through Stripe, Inc.. You agree to pay all charges incurred under your account. Unpaid balances or failed card transactions may result in the immediate suspension of your API endpoints and TPU resource allocations.
5. Disclaimer of Warranties ("As-Is")
THE PLATFORM IS CURRENTLY IN BETA. ALPHADEEP PROVIDES ITS SERVICES, WEBSITE, AND BASE MODELS "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ENDPOINTS WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHADEEP INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR COMPUTE OVERHEADS, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE PLATFORM.
7. Governing Law and Amendments
These Terms shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. We reserve the right to modify these Terms at any time. Your continued use of the platform after changes are posted constitutes acceptance of the new Terms.
